Roc Annual Filings Process Online in Bangalore


As per the law, every company is required to comply with the statutory annual filings with the Registrar of Companies (ROC) in India. This is a very critical task for any business and it must not be ignored. Failure to file the annual returns will result in heavy penalties for the company.

The charges for the ROC annual filing process would vary according to the scope of work. It could include book-keeping, drafting of the financial statements along with reconciliations and finalisation. It could also involve completing the books of accounts with all the requisite documents and filing them for ROC audit.

It is necessary for all LLPs to get their accounts audited by an accredited Chartered Accountant. This is mandatory if the LLP's turnover in a year crosses Rs 40 lakh or the contribution exceeds Rs 25 lakh.

If a company does not carry out any business activity for two consecutive years, it can apply to the Registrar ofCompanies to be declared as a Dormant Company. The Registrar will verify the documents and issue a certificate to that effect. The company can continue its operations once the certificate is issued.

To apply for the status of a dormant company, the company must hold a board meeting with at least two directors and pass a resolution for this purpose. The company must also file Form MGT-7 and the list of shareholders, debenture holders and other persons who have rights in the share capital of the company with this form.
