In the article, we will discuss in detail, what are the procedures for formation of LLP in India. An LLP is a separate legal entity and enjoys the status of distinct legal person only after it gets incorporated with the Registrar of Companies (ROC).
Once the ROC approves the incorporation of the Limited Liability Partnership, the same will be reflected in the certificate issued by the ROC which is further followed by allotment of LLP Identification Number and the LLP deed which is considered as the articles of association of the LLP.
LLP Registration Procedures
Ministry of Corporate Affairs (MCA) has made major amendments in the LLP incorporation process vide Limited Liability Partnership (Second Amendment) Rules, 2022. One of the major changes introduced by this amendment is that LLPs will have to mandatorily mention latitude and longitude in their address. This will enable the Government agencies to track and verify addresses for various reasons.
Another change introduced is that the Registrar of a LLP will now include PAN and TAN in the Certificate ofIncorporation itself. This will eliminate the need for obtaining PAN and TAN separately as was done earlier.
To initiate the LLP registration process, first, one needs to reserve the unique name for the proposed LLP through RUN-LLP service on the MCA portal.
